Self-Directed Use and Prohibited Third-Party Services
Self-Directed Platform. The Platform is a self-directed automation tool. For purposes of this Section, “personalized human services” means one-on-one operation, configuration, management, or trading direction provided by a person on behalf of a User. TradersPost is not a registered investment adviser, broker-dealer, or managed account service. TradersPost’s fees are subscription-based and are not tied to User’s trading results, account performance, or capital appreciation. TradersPost does not manage User accounts or provide personalized recommendations or instructions regarding User’s trading activity. Users must make their own trading and configuration decisions and are solely responsible for determining whether and how to use the Platform. The restrictions in this Section target personalized human services. They do not prohibit standardized third-party software, automated signal services, or User-authorized integrations as described in Paragraph 7.8.
User Configuration and Control. User is solely responsible for initiating, authorizing, reviewing, and maintaining the configuration and operation of User’s own account and use of the Platform, including broker connections, strategies, symbols, timeframes, position sizing, risk settings, and all other trading parameters. This responsibility applies whether User configures the Platform directly or through permitted third-party software, integrations, imports, templates, or other authorized tools under Paragraph 7.8.
Prohibited Third-Party Operation and Configuration. User may not permit any third party to operate, configure, or manage User’s TradersPost account on User’s behalf through personalized human services. Without limiting the foregoing, no person may perform setup or ongoing configuration of User’s strategies, broker connections, trading parameters, or account settings on User’s behalf; direct User’s trading activity through individualized recommendations or instructions tailored to User’s circumstances; or substitute such person’s judgment for User’s responsibility over User’s account, regardless of whether such conduct occurs in person, by phone, chat, screenshare, remote access, or any other method. Nothing in this paragraph prohibits User’s use of permitted third-party software and signal services under Paragraph 7.8, including through webhooks, APIs, imports, templates, or other User-authorized integrations.
Credential Sharing Prohibited. User may not share User’s TradersPost login credentials, passwords, or account access with any third party for any purpose, including account setup, configuration, operation, or management. User may not share brokerage login credentials, API keys, or other brokerage account access with any third party for the purpose of connecting, configuring, or trading through the Platform on User’s behalf. Nothing in this paragraph prohibits User from providing User-authorized integration endpoints (such as webhook URLs or other action-scoped endpoints limited to integrations User has approved) to permitted third-party software and signal services under Paragraph 7.8, provided User does not share TradersPost login credentials, passwords, or account access with any third party. This prohibition is in addition to, and does not limit, the restrictions set forth in the Account Passwords and Data Security and Authorized Brokerage Account Use provisions of this Agreement.
Prohibited Managed and Concierge Services. User may not use the Platform as part of, or in connection with, any managed account service, concierge setup service, account operation service, “done-for-you” configuration service, or similar business model in which a third party provides personalized human services. This prohibition does not apply to permitted third-party software and signal services under Paragraph 7.8.
Prohibited Performance-Based Compensation. As a contractual condition of use, User may not enter into any arrangement with a third party under which the third party receives profit share, revenue share, performance-based compensation, or similar remuneration tied to User’s trading activity, results, or use of the Platform, regardless of whether such arrangement is otherwise permitted under applicable law, except for profit splits, payout fees, or similar performance-based compensation owed to the proprietary trading firm or evaluation program operator with which User has a direct account or program relationship, provided such compensation is pursuant to that firm’s official program terms and is paid to the firm or program operator itself. This prohibition applies to individuals, businesses, educators, coaches, service providers, and any other third party who is not the proprietary trading firm or evaluation program operator with which User holds the account. Nothing in this paragraph prohibits flat-fee compensation for permitted educational activities under Paragraph 7.9.
Independent Judgment Required. User must retain independent judgment and discretion over User’s selection, authorization, configuration, and ongoing use of the Platform. User may not delegate responsibility for User’s account to a human third party providing personalized human services, and may not rely on individualized directives from a person regarding specific symbols, timeframes, strategies, sizing, broker settings, or other trading parameters in lieu of User’s own decisions. User’s voluntary subscription to or authorization of standardized third-party software or signal services permitted under Paragraph 7.8 does not violate this paragraph, provided User independently decides whether to use such service and remains responsible for initiating, authorizing, reviewing, and maintaining User’s configuration and account activity.
Permitted Third-Party Software and Signal Services. Nothing in this Section prohibits User from using third-party software platforms, applications, or automated signal services (including strategy marketplaces and rules-based, algorithmic, AI-powered, or automated trading tools) that offer standardized strategies, alerts, sizing logic, or trade instructions to subscribers or customers on the same terms; may generate or transmit standardized trade instructions, alerts, or automated sizing through rules or algorithms common to all subscribers; and operate through User-authorized integrations such as webhooks, APIs, imports, templates, or similar mechanisms. Permitted services do not include personalized human services. User is solely responsible for determining whether to use any such third-party service and for selecting, subscribing to, configuring, authorizing, reviewing, maintaining, monitoring, and disconnecting any such third-party service, and for all trading activity executed through the Platform as a result.
Permitted Educational Activities. Nothing in this Section prohibits third parties from providing general education, publicly available tutorials, documentation, support articles, examples, demonstrations, or other non-personalized guidance about how the Platform works or about trading concepts generally, provided that such activities do not involve personalized human services, do not involve individualized trading or configuration direction, and do not involve any of the prohibited conduct described in this Section.
No False Authorization or Endorsement. User may not permit any third party to represent that TradersPost authorizes, endorses, licenses, or is affiliated with the third party’s services for the purpose of providing personalized human services, performing managed or concierge account services using the Platform, or providing individualized trading direction.
Reservation of Rights. TradersPost reserves the right to determine, in its reasonable discretion, whether a third-party service or business model complies with this Section and is consistent with the self-directed nature of the Platform and may prohibit integrations or suspend or terminate accounts that use or participate in services that circumvent or violate the restrictions in this Section.
Enforcement. The restrictions in this Section are conditions of User’s access to and use of the Platform. TradersPost does not undertake to monitor all off-platform conduct and does not guarantee that it can detect violations of this Section. If TradersPost becomes aware of or reasonably believes that User has violated this Section, TradersPost may suspend or terminate User’s account if it reasonably determines that doing so is appropriate, without refund, in addition to any other remedies available under this Agreement.

19. Arbitration
Arbitration. All disputes, controversies, or claims arising out of, relating to, or regarding this Agreement, including the breach, termination, or validity thereof, thereof (each, a “Dispute”), shall be determined pursuant to arbitration on the following terms, namely: resolved as set forth in this Section.
If you and TradersPost are unable to resolve a dispute (a “Dispute”) through informal negotiations, the Dispute (except where explicitly prohibited by applicable law) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. You and TradersPost shall equally share the cost of the arbitration, but each party shall be responsible for its own attorney’s fees. The arbitration may be conducted in person at mutually agreed upon location, or virtually through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided herein, the parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
Informal Resolution. Before commencing arbitration, the parties will attempt in good faith to resolve any Dispute through informal negotiations.
In no event shall any Dispute brought by either party be commenced more than 2 years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts of TradersPost’s home state, and the parties agree to submit to the personal jurisdiction of that court.
Binding Arbitration. Except where explicitly prohibited by applicable law, any Dispute that is not resolved through informal negotiations will be finally and exclusively resolved by binding arbitration. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the AAA’s Consumer Arbitration Rules, if applicable, and otherwise the AAA’s Commercial Arbitration Rules (collectively, the “AAA Rules”), as modified by this Agreement. The AAA Rules are available at www.adr.org.
The parties agree that any arbitration shall be limited to the Dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Arbitrator and Location. The arbitration will be conducted by a single arbitrator appointed in accordance with the AAA Rules. Unless the parties agree otherwise, the arbitration may be conducted in New Castle County, Delaware, or virtually through the submission of documents, by phone, or online, as the arbitrator determines appropriate.
The party desiring arbitration shall nominate one arbitrator and shall notify the other parties of such nomination. Such other parties shall within ten (10) days after receiving such notice, nominate an arbitrator and the two arbitrators shall select a chairman of the arbitral tribunal to act jointly with them. If the arbitrators shall be unable to agree in the selection of such chairman, the chairman shall be designated by a Judge of the applicable jurisdiction upon an application by any party;
Fees and Costs. Payment of filing, administration, and arbitrator fees will be governed by the AAA Rules. Each party shall be responsible for its own attorneys’ fees and costs unless applicable law or the arbitrator’s award provides otherwise.
If the parties hereto receiving the notice of the nomination of any arbitrator by the party desiring arbitration fail within the said ten (10) days to oppose the nomination of said arbitrator, the nominated arbitrator shall be performed as the arbitrator for the purposes of arbitration under this Agreement. The arbitrator nominated by the party desiring arbitration may proceed alone to determine the dispute in such manner and at such time as he shall think fit and his decision shall, subject to the provisions hereof, be binding upon the parties; and
Arbitrator’s Authority and Award. The arbitrator will have authority to award any relief available under applicable law. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. The arbitrator will issue a written decision, but need not provide a statement of reasons unless requested by either party. Judgment on the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, any arbitration may be carried out by a single arbitrator if the parties hereto so agree, in writing. In this event, the provisions of this paragraph shall apply mutatis mutandis; to the single arbitrator.
Limitations Period. In no event shall any Dispute be commenced more than two (2) years after the cause of action arose.
The parties agree to keep confidential the existence of the arbitration, the arbitral proceedings, the submissions made by the parties and the decisions made by the arbitral tribunal, including its awards to the extent not already in the public domain, except in judicial proceedings related to the award or where required by applicable law.
No Class or Representative Actions. To the fullest extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Court Proceedings. Either party may bring an action in court solely to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on an arbitration award. If any portion of this Section is found to be illegal or unenforceable, that portion will be severed and the remaining Disputes, or any Dispute as to which arbitration is not permitted, shall be decided exclusively by a state or federal court of competent jurisdiction sitting in New Castle County, Delaware, and the parties consent to the personal jurisdiction of such courts.
Confidentiality. The parties agree to keep confidential the existence of the arbitration, the arbitral proceedings, the submissions made by the parties, and the arbitrator’s award, to the extent not already in the public domain, except in judicial proceedings related to the award or where required by applicable law.
